Robert Half Attorney/Lawyer in Cleveland, Ohio

Description

We are seeking an Assistant General Counsel for a client in the Cleveland area.

Responsibilities:

• Draft and negotiate a wide range of commercial contracts and other legal documents including sales agreements, supply agreements, distribution agreements, technology licenses, SaaS agreements, consulting agreements, and various vendor services agreements.

• Support business clients globally in negotiating price, deliverables, services and products scope, warranty, and other commercial terms.

• Provide rapid, practical, business-oriented advice directly to clients on contract interpretation, dispute resolution, liability risks, regulatory compliance, and other legal matters.

• Play a key role in the development and continuous improvement of policies, procedures, forms, and standard template language.

• Work with the business development team and other departments to conduct due diligence and post-acquisition integration efforts in strategic transactions as needed.

• Support other members in the Legal Department on company transactions and other matters as needed.

• Utilize skills in Commercial Contracts and Spanish Language to effectively communicate and negotiate agreements.

Requirements • Possession of a Juris Doctorate (JD) degree from an accredited law school.

• A minimum of three years of experience in a legal role, preferably within the wholesale distribution industry.

• Must be a licensed attorney in good standing with the State Bar.

• Proficient in drafting and reviewing commercial contracts.

• Excellent negotiation, communication, and advocacy skills.

• Strong analytical thinking and problem-solving abilities.

• Ability to manage multiple tasks and priorities in a fast-paced environment.

• Demonstrated experience in providing legal advice to business teams.

• Proficient in Spanish language, both written and spoken, is essential.

• High level of professional ethics and integrity.

• Solid understanding of federal, state, and local laws.

• Excellent interpersonal skills and the ability to work effectively with all levels of the organization.

• Proficient in the use of legal research software and Microsoft Office Suite.

• Strong organizational skills and attention to detail.

• Ability to maintain confidentiality of sensitive information.
